Eclipse Media Limited adheres to industry normal terms and conditions. To all clients working with Eclipse Media Limited on any advertising booked at any events, it is understood that you agree to the following:
Terms and Conditions:
- Eclipse Media Limited assures all booked clients on our payment policy which is 100% payment once the event is finished.
- Eclipse Media offers payment credit of 30 days after the event to all clients. Any overdue accounts are subject to an interest charge of 2% per month, in the absence of prior written agreement.
- Any subsequent changes to client’s requirements after approval of artwork production must be provided in writing and then approved by Eclipse Media Ltd and these may incur additional cost.
- E-mail correspondence shall be sufficient for initial approvals, however a confirmation order from Eclipse Media Ltd must be signed by clients on booking of any advertising at any events. The confirmation of advertising order is a legal contract between the client and Eclipse Media Ltd.
- All payments must be made to “Eclipse Media Limited” by bank transfer or cheque in Hong Kong dollars when working with any Hong Kong based company. While working with an offshore company, payment should be made in US Dollars by Telegraphic Transfer. Any and all bank charges (including payee side) must be paid by the client/transferer.
- Any confidential or proprietary information which is acquired by Eclipse Media Ltd from a client company, person or entity will not be used or disclosed to any person or entity, except when required to do so by law. If required, Eclipse Media Ltd will sign and adhere to the conditions of a confidentiality agreement provided by the client.
- In case of any events being cancelled, all clients aren’t liable to any payment whatsoever to Eclipse Media Limited. However in case of any events being postponed due to weather, global health crisis, strike or any other reason, the advertising booked by any client will be moved to the newly announced event date.
- In case of any unforeseen circumstance that causes last minute failure by Eclipse Media Limited on implementation of in-stadium/outdoor advertising booked, the client will not be charged for any payment whatsoever to Eclipse Media Limited. At the very same time, the client will not be entitled to any claim or compensation from Eclipse Media Ltd due to non-implementation. Eclipse media will offer alternative events/dates as replacement for fulfillment of advertisement for clients to choose.
- If a client terminates the contract / signed confirmation order for any reason, they will be liable to pay a 30% cancellation fee to Eclipse Media Ltd. A failure from clients end to send their brand artwork to Eclipse Media Ltd prior to given deadline, may result in cancellation of the contract / confirmation order and client will be liable to pay a 30% cancellation fee to Eclipse Media Ltd.
- Eclipse Media Ltd is responsible for all cost related to artwork production, LED animation and all in-stadium logistics. The cost quoted on Eclipse Media confirmation order signed with client is all inclusive except of any TAX/VAT. All tax/vat if any will be borne by the client. Eclipse Media can offer double taxation avoidance agreement (if any such avoidance treaty is signed between Hong Kong and the country where the client is based) to help clients with partial or full tax waiving option.
- All confirmation order/agreement signed between client and Eclipse Media are confidential and neither party shall reveal any details or information without the prior written consent of the other.
FORCE MAJEURE
- Eclipse Media Ltd shall not be liable for any failure or delay in total or partial performance of its obligation hereunder if such failure or delay is attributable to any circumstance or event beyond its control, which includes, but is not limited to, any act of God, strike, lockout or other industrial disturbance, global health crisis, sabotage, terrorism, war, blockade and insurrection, flood, fire, restraint of civil disturbance, terrestrial or extraterrestrial interference or any cause of similar nature beyond the reasonable control of Eclipse Media Ltd.
